Unlisted shares meaning
Unlisted shares are equity shares of companies that are not listed on stock exchanges such as NSE or BSE. Because they do not trade on the daily share bazar, they are bought and sold privately between buyers and sellers, usually through registered brokers and intermediaries. Once you buy them, the shares are credited to your demat account like any other stock.
Why are companies unlisted?
A company may be unlisted because it is young and still raising private funding, because it has not yet filed for an IPO, or because it is a well-established business that simply chose to stay private. Examples of names investors often track in this space include National Stock Exchange of India (NSE), Hero FinCorp, Chennai Super Kings (CSK), Parag Parikh Financial Advisory Services (PPFAS), Zepto, boAt, PhonePe and Razorpay. Always confirm a company's current status before investing, since some names list every year.
Who sells unlisted shares?
Sellers are typically early investors, promoters, and employees holding ESOPs who want liquidity before an IPO. Buyers are HNIs, family offices, and increasingly retail investors looking to enter a business before it lists.
Why investors buy pre-IPO shares
The main attraction is entry at a valuation set before public market excitement. If the company lists later at a higher price, early holders may benefit. Unlisted shares also do not move minute-by-minute with the Nifty, which reduces day-to-day price noise.
Risks you must understand
Unlisted shares are illiquid - you cannot sell them instantly on an exchange. Disclosures are lower than for listed companies, prices are negotiated rather than exchange-discovered, and there is no guarantee that a company will ever IPO. Invest only money you can lock in for a few years, and read the company's financials before you buy.
